Financial decisions for the Smarter Web

On the face of it, the Bitcoin Treasury company selling part of its assets can be read as a sign of weak faith. But the trade is a credit control decision.

Smarter Web has not left its Bitcoin site. It used BTC to settle debt and avoid issuing 7,718,551 common shares, an effect that would have diluted the outstanding shares if the convertibles had been converted into shares instead.

Bitcoin mining companies it often makes headlines on the one hand: the purchase, the rise of the entire economy, the deep commitment to Bitcoin as a virtual asset. Investors respond based on their perception of the crypto industry’s transparency, but transparency is often an overstatement.

Smart Web sold Bitcoin to launch another financial instrument, the company said. This is different from a sale that is driven by a loss of confidence in the stock, and different from a forced sale that is associated with a loss of income.

The company was faced with a capital-structure decision. It can leave the convertible in place and reduce the risk from future conversions to shares, or it can offload a portion of its Bitcoin position to pay off the debt directly. Administrators chose the second option, prioritizing the cleanup site instead of maintaining the entire Bitcoin site.

For shareholders, ideas can make more sense than they do. The new issuance of millions of common shares has a direct and immediate effect on the price of each share.

The reduction of Bitcoin Holdings, in contrast, leaves the company’s dividend per share unaffected and removes the fixed debt from the balance sheet.

Smarter Web remaining 2,700 BTC Treasury shows the company has not left the way Bitcoin. The sell-off affected only one financial sector, not the broader sentiment behind the stock.
